1. Introduction & Acceptance of Terms

By creating an account, accessing, or using the Platform in any way — whether as a learner, Mentor, Instructor, Content Creator, or Guest — you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or policies posted on the Platform.
If you do not agree to these Terms, you must not access or use the Platform.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Platform" means LearnersMentors.com and all associated websites, mobile applications, and services.
- "User" means any individual who accesses or uses the Platform, including learners, mentors, instructors, and guests.
- "Content Creator", "Mentors", "Instructor" means a User who submits, uploads, publishes, or otherwise makes available any User Content on the Platform.
- "User Content" means any content — including but not limited to text, images, video, audio, presentations, course materials, webinar recordings, assessments, and other materials — that a User submits to or publishes on the Platform.
- "Platform Content" means content owned or licensed by LearnersMentors.com, excluding User Content.
- "Services" means all educational and learning-related services offered through the Platform.
3. Eligibility & Account Registration
3.1 Eligibility
You must be at least 18 years of age to use the Platform as a Content Creator, Mentor or Instructor. Learners must be at least 13 years old, or of legal age in their jurisdiction. Users under the age of majority must have parental or guardian consent.
3.2 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 One Account Per User
Each User may maintain only one active account. Creating duplicate or fraudulent accounts is strictly prohibited and may result in immediate termination of all associated accounts.
4. User Conduct & Acceptable Use Policy
4.1 General Standards
All Users must interact on the Platform with honesty, respect, and integrity. The Platform is dedicated to educational advancement and mutual learning. You agree not to use the Platform in any way that:
- Violates any applicable local, national, or international law or regulation;
- Is harmful, offensive, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
- Promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation, age, or any other protected characteristic;
- Infringes upon the intellectual property rights of any third party;
- Misrepresents your identity, qualifications, or affiliations;

4.2 Content Standards Content Creators, Mentors and Instructors additionally agree that all User Content they submit:
- Is accurate, truthful, and educationally appropriate;
- Does not contain misinformation, medical advice without appropriate disclaimers, financial advice without appropriate disclaimers, or legal advice without appropriate disclaimers;
- Does not include any personally identifiable information of third parties without their explicit consent;
- Is original or properly licensed from third-party rights holders;
- Complies with all applicable laws and regulations in the jurisdiction(s) from which it originates and in which it may be accessed.
4.3 Enforcement
We reserve the right, but are not obligated, to monitor User Content and User conduct. We may remove any content, suspend, or terminate any account at our sole discretion, with or without notice, if we determine that a User has violated these Terms.
5. Content Submission & Publication
5.1 Submission Process
Content Creators may submit courses, webinars, articles, and other educational materials through the Platform's designated submission channels. By submitting content, you represent and warrant that:
1. You have the full right, power, and authority to grant the licenses described in these Terms;
2. Your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party;
3. Your User Content complies with all applicable laws and does not violate any third-party agreements;
4. All factual statements in your User Content are accurate to the best of your knowledge.
5.2 Review & Moderation
LearnersMentors.com may, at its sole discretion, review, approve, reject, or remove any User Content at any time. Submission of content does not guarantee publication. We reserve the right to establish and modify quality standards for content published on the Platform.
5.3 No Obligation to Publish
We are under no obligation to publish, feature, promote, or maintain any User Content on the Platform. We may remove, archive, or restrict access to User Content at any time for any reason, including but not limited to a violation of these Terms or changes in Platform strategy.
6. Intellectual Property & Content License
6.1 Retention of Ownership
You retain all intellectual property rights — including copyright — in and to the original User Content that you create and submit to the Platform. These Terms do not transfer ownership of your intellectual property to LearnersMentors.com.
6.2 License Grant to LearnersMentors.com
By submitting or publishing User Content on the Platform, you grant LearnersMentors.com and its successors, affiliates, and licensees a worldwide, royalty-free, non-exclusive, irrevocable, perpetual, sublicensable, and transferable license to use, reproduce, distribute, adapt, modify (for formatting or technical purposes), publicly display, publicly perform, and create derivative works from your User Content, in whole or in part, for the following purposes:
- Operating and improving the Platform and its services;
- Delivering your content to learners and other users;
- Promoting and marketing the Platform and its educational mission, including use in advertising materials, social media, promotional videos, and other marketing channels;
- Aggregating anonymized or de-identified insights for research and analytics purposes;
- Archiving and preserving content for historical and institutional purposes;
- Exercising any other rights necessary to provide the Services.
6.3 Irrevocability of License
The license granted in Section 6.2 is irrevocable. This means that even if you choose to remove your User Content from the Platform, LearnersMentors.com retains the right to continue using any User Content that was previously published, shared with learners, or incorporated into Platform operations or promotional materials, to the extent permitted by this license. This irrevocability is necessary to ensure continuity of educational services for enrolled learners and the integrity of the Platform.
6.4 Ethical Use Commitment
LearnersMentors.com is committed to using your content ethically and in a manner consistent with educational and professional standards. Specifically, we commit to:
- Not misrepresenting your content or presenting it in a way that is deceptive or misleading;
- Attributing content to you as the creator in reasonable circumstances and as appropriate in context;
- Using your content only for legitimate educational, instructional, and promotional purposes aligned with our mission;
- Not selling your raw User Content as a standalone product to third parties without your consent.
Nothing in this commitment limits the scope of the license granted in Section 6.2 or creates an obligation enforceable against LearnersMentors.com beyond what is expressly stated.
6.5 Moral Rights
To the fullest extent permitted by applicable law, you waive any moral rights or similar rights you may have in your User Content that would prevent LearnersMentors.com from exercising the rights granted under Section 6.2.
6.6 Platform Content
All content owned by or exclusively licensed to LearnersMentors.com — including the Platform's name, logo, design, software, proprietary course materials, and Platform Content — is protected by intellectual property laws and remains the exclusive property of LearnersMentors.com. You may not reproduce, modify, distribute, or create derivative works from Platform Content without our express written consent.
6.7 DMCA & Copyright Infringement
We respect copyright law and expect all Users to do the same. If you believe your copyrighted work has been published on the Platform without authorization, please contact us with the following information:

6. A description of where the allegedly infringing material is located on the Platform;
7. Your contact information;
8. A statement that you have a good-faith belief that the use is not authorized;

7. Fees, Payments & Refunds
Specific pricing, revenue sharing for Content Creators, subscription terms, and refund policies are set out in the Pricing & Payment Policy, which is incorporated into these Terms by reference. LearnersMentors.com reserves the right to modify pricing at any time with reasonable notice to affected Users.
8. Privacy & Data
Your privacy matters to us. Our Privacy Policy explains how we collect, use, store, and share information about you when you use the Platform. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy, which is incorporated into these Terms by reference.
9. Third-Party Content & Links
The Platform may contain links to third-party websites, tools, or services. These links are provided for convenience only. LearnersMentors.com does not endorse, control, or assume any responsibility for the content, privacy practices, or terms of any third-party website or service. Your use of third-party resources is entirely at your own risk.
10. Disclaimers of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL SERVICES, CONTENT, AND MATERIALS THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
LearnersMentors.com does not warrant that:
- The Platform will be available, uninterrupted, timely, secure, or error-free at all times;
- Any User Content is accurate, complete, reliable, current, or suitable for any particular purpose;
- The Platform or its content is free of viruses or other harmful components;
- Results obtained from using the Platform will be accurate or reliable.
You acknowledge that your use of the Platform is entirely at your own risk.
11. Disclaimer of Responsibility for User Content
LearnersMentors.com is an educational platform that enables Users to publish and share content. We do not guarantee the accuracy of User Content. Accordingly:
- LearnersMentors.com expressly disclaims any and all liability arising from User Content submitted, published, or otherwise made available by Users on the Platform;
- We do not endorse any opinion, recommendation, or advice expressed in User Content;
- Users access and rely on User Content at their own risk;
- Content Creators are solely responsible for the accuracy, legality, and appropriateness of the content they publish;
- LearnersMentors.com is not responsible for any loss, damage, or harm resulting from reliance on User Content, including educational, medical, financial, or legal content published by instructors or other Users.
We encourage all learners to critically evaluate content and consult qualified professionals where appropriate.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEARNERSMENTORS.COM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
- LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES;
- DAMAGES ARISING FROM RELIANCE ON USER CONTENT;
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR DATA;
WHETHER ARISING OUT OF CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF LEARNERSMENTORS.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE EXTENT LIABILITY CANNOT BE FULLY EXCLUDED, LEARNERSMENTORS.COM'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO LEARNERSMENTORS.COM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY.
13. Indemnification
You agree to defend, indemnify, and hold harmless LearnersMentors.com and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Platform;
- Your User Content, including any claim that your User Content infringes the intellectual property or other rights of a third party;
- Your breach of these Terms;
- Your violation of any applicable law or regulation;
- Your negligent or wrongful conduct.
14. Term & Termination
14.1 Term
These Terms are effective from the date you first access or use the Platform and continue until terminated by either party.
14.2 Termination by You
You may terminate your account at any time by contacting us at support@learnersmentors.com Termination does not affect the irrevocable license granted to LearnersMentors.com over your User Content under Section 6.
14.3 Termination by LearnersMentors.com
We may suspend or terminate your access to the Platform, with or without notice, for any reason, including if we reasonably believe you have violated these Terms.
14.4 Effect of Termination
Upon termination, your right to access and use the Platform ceases. Sections 6, 8, 10, 11, 12, 13, 15, 16, and 17 shall survive termination.
15. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Effective Date" at the top of this document and, where reasonably practicable, by notifying you via email or a prominent notice on the Platform. Your continued use of the Platform following such notice constitutes your acceptance of the revised Terms.
If you do not agree to the updated Terms, you must stop using the Platform and request account deletion.
16. Governing Law & Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England, without regard to its conflict of law provisions.
16.2 Informal Resolution
Before initiating any formal legal proceedings, you agree to first contact us at legal@learnersmentors.com to attempt to resolve the dispute informally. We will use reasonable efforts to resolve the dispute within thirty (30) days.
16.3 Binding Arbitration
If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration in England, conducted in the English language. The arbitration shall be administered under the rules of [Arbitration Body, e.g., ICC/AAA/JAMS]. The award of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
16.4 Class Action Waiver
To the extent permitted by law, you waive your right to participate in any class action lawsuit or class-wide arbitration against LearnersMentors.com.
16.5 Exceptions
Either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, including in connection with intellectual property rights.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional policies incorporated herein, constitute the entire agreement between you andLearnersMentors.com regarding your use of the Platform and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and all other provisions shall remain in full force and effect.
17.3 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
17.4 Assignment
LearnersMentors.com may assign or transfer these Terms, in whole or in part, at any time without restriction. You may not assign your rights or obligations under these Terms without our prior written consent.
17.5 Force Majeure
LearnersMentors.com shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, government actions, pandemics, or internet outages.
17.6 Language
These Terms are provided in English. In the event of any conflict between a translation and the English version, the English version shall prevail.

This Policy applies to all Users — including Content Creators, Mentors, Instructors, and Learners — and supplements the Terms of Service.

- What you may and may not include in your submissions;
- How LearnersMentors.com uses your content;
- How to report copyright infringement.
2. Your Copyright in Your Content
2.1 You Own What You Create
When you create original content — such as course materials, lecture videos, presentations, articles, quizzes, or webinar recordings — you are the copyright holder of that work. Submitting your content to LearnersMentors.com does not transfer your copyright ownership to us.
You remain the author and owner of your intellectual property. This means you can:
- Continue to publish or sell your content elsewhere, unless you have agreed to exclusivity terms with LearnersMentors.com;
- Use your own content freely in other contexts;
- Identify yourself as the creator and copyright holder;
- Register your copyright with relevant authorities if you wish to do so.
2.2 How This Compares to Other Platforms LearnersMentors.com approach is similar to major content platforms: you retain copyright in your original works, but grant the platform a broad license to use, display, distribute, and promote your content. This is a standard and widely-used model in the digital education industry, designed to allow the platform to operate effectively while respecting creators' ownership.
3. License Granted to LearnersMentors.com
3.1 The License in Plain Language
By publishing content on LearnersMentors.com, you give us permission to use your content broadly. Specifically, you grant us:
- Worldwide scope — your content can be accessed and used globally;
- Royalty-free — we do not pay you separately for using your content under this license (beyond any agreed revenue sharing);
- Irrevocable — this permission cannot be taken back once content is published;
- Sublicensable — we may allow partners or affiliates to use your content in connection with our mission;
- Broad rights — we can display, reproduce, distribute, adapt, promote, and create platform-related materials using your content.
3.2 Why the License is Irrevocable
The irrevocable nature of this license is necessary for several important operational reasons:
1. Enrolled learners may have paid for and begun using your course — abrupt removal would harm their educational experience;
2. Your content may be referenced in Platform marketing, press materials, or partner integrations — unraveling this is not practically possible;
3. Platform operations require confidence that previously licensed content will remain available;
4. It protects the Platform from being destabilised by simultaneous or strategic content withdrawals.
This does not mean your content will remain on the Platform indefinitely. We may remove or archive content at our discretion. It means that content already used — in promotional materials, archived courses, or Platform communications — may remain in those uses.
3.3 Educational & Marketing Uses
Specifically, your content may be used for:
- Delivering courses and webinars to enrolled learners;
- Featuring excerpts or highlights in Platform promotional videos or advertising;
- Showcasing mentor and instructor profiles and sample content to attract new learners;
- Including content in newsletters, social media posts, blog articles, or press coverage about the Platform;
- Demonstrating Platform capabilities to institutional partners or investors;
- Aggregating insights for research and product improvement (in anonymized or de-identified form where personal data is involved).
3.4 What We Will Not Do
While the license is broad, LearnersMentors.com commits to the following ethical boundaries:
- We will not sell your raw User Content as a standalone commercial product to third parties;
- We will not use your content to promote views or causes you have not consented to;
- We will not deliberately misrepresent your identity as the creator;
- We will not use your content in ways that are clearly defamatory, obscene, or unlawful;

4. Your Responsibilities as a Content Creator

4.2 Third-Party Materials
If your content includes any third-party materials — such as music, images, video clips, data, research papers, or software — you must have obtained the necessary licenses, permissions, or legal clearance to use those materials on the Platform and to sublicense them to LearnersMentors.com under the terms of Section 3.
Acceptable third-party materials may include:

- Public domain materials;
- Content for which you have obtained written permission from the rights holder.
Do not assume that content found freely on the internet is in the public domain or available for use without a license.
4.3 Fair Use
You are responsible for assessing whether any use of third-party material in your content constitutes "fair use" (or equivalent doctrine in your jurisdiction). 4.4 Plagiarism

5.3 Repeat Infringers
LearnersMentors.com maintains a policy of terminating the accounts of Users who are found to be repeat infringers of third-party intellectual property rights.
6. Platform Intellectual Property
All intellectual property belonging to LearnersMentors.com — including but not limited to our trademarks, service marks, logos, trade names, domain names, software code, design elements, proprietary Platform Content, and all associated goodwill — is the exclusive property of LearnersMentors.com or its licensors.
Nothing in these Terms grants you any right, title, or interest in LearnersMentors.com intellectual property, except for the limited right to use the Platform as expressly set out in these Terms. Any unauthorized use of our intellectual property is strictly prohibited.

- Usage and analytics data: retained in aggregated/anonymised form indefinitely; raw logs retained for up to 12 months;
- Marketing consent records: retained for the duration of the consent plus 3 years.
When data is no longer required, we securely delete or anonymise it.
